Terms and Conditions of Sale

Please read these terms and conditions carefully before using this website or purchasing our products/services.

6. Placing an Order & Forming a Contract

 

By placing an Order, you are making an offer to purchase Goods or Services from us.

You will receive an Order Acknowledgement email. This is not an acceptance of your Order, just confirmation we have received it.

The contract between us (Contract) is formed only when we send you a Confirmation Email stating that the Goods have been dispatched or the Service has been activated.

We reserve the right to refuse or cancel an Order at our discretion (e.g., if a product is mispriced, out of stock, or we suspect fraudulent activity).

 

7. Price and Payment

 

The price of the Goods and Services will be as quoted on the Site at the time of your Order.

Prices exclude UK VAT (where applicable) and delivery costs, which will be clearly added at checkout.

Payment must be made in full at the time of Order using one of the accepted payment methods (e.g. credit/debit card).

All payments are processed securely by our third-party payment providers. We do not store your full card details.

 

Discount Coupons are issued at the sole discretion of Ninja Guard Ltd and can be withdrawn without notice.

If you have a valid discount coupon offered through this website for subscribing it is only valid for your FIRST order where the total value of the goods must total a minimum of GBP 1,000 (excluding Delivery and VAT) for this to apply. The discount coupon cannot be used where other discounts, price reductions or offers have been applied.

To redeem the discount coupon after subscribing please use the code provided prior to check out on our website.

 

8. Delivery of Goods

 

Physical Goods: We will deliver the Goods to the address you provide. Estimated delivery timescales are given in good faith but are not guaranteed. Time is not of the essence for delivery. We are not liable for delays caused by events outside our control.

Digital Goods & Services (e.g., software licenses): Delivery is typically fulfilled within 24 hours via email by providing access codes, download links, or account activation.

 

9. Your Right to Cancel (Cooling-Off Period) - IMPORTANT

 

If you are a consumer (an individual acting for purposes outside your trade, business, craft, or profession), you have a legal right to cancel a Contract under the Consumer Contracts Regulations 2013.

 

Right to Cancel: You have 14 days from the day after you receive the Goods (or the day the Contract for Services is formed) to cancel your Order for any reason.

Digital Content & Services: If you request that we begin providing a service (e.g., activating a software license) during the cancellation period, you lose your right to cancel once the service has been fully performed. You must explicitly agree to this before we begin.

How to Cancel: To cancel, you must inform us of your decision by making a clear statement in an email to sales@ninja-guard.co.uk using the model cancellation form below but it is not mandatory.

Effects of Cancellation: If you cancel, we will reimburse all payments received from you, including standard delivery costs, without undue delay and within 14 days of us receiving the returned Goods or your proof of having sent them back. We may withhold reimbursement until we have received the Goods back or you have supplied evidence of having sent them back.

10. Returns and Refunds

 

Please return the Goods to us without undue delay and in any event not later than 14 days after notifying us of cancellation. You are responsible for the cost of return postage unless the Goods are faulty or incorrect.

Goods must be returned in their original condition, unused, and in the original packaging.

​

Refunds will be processed using the same method you used for payment.

​

Return and Refund requests that fall outside of the Cooling-Off Period, or you are a trader acting for the purposes of your trade, business, craft, or profession, then we will review your cancellation request. If we decide to accept the cancellation request, no delivery charges will be refunded and there will be a re-stocking and administration charge.

 

11. Warranty and Support

 

We warrant that our Goods will be free from material defects in workmanship and materials for a period of 12 months from delivery (Warranty Period). You must notify us in reasonable time of identifying the defect to claim repair, replacement, or a refund.

We warrant that our Services will be provided with reasonable care and skill.

​

This warranty does not cover damage caused by accident, misuse, or normal wear and tear.

12. Limitation of Liability

 

We are liable to you for direct and foreseeable loss and damage caused by us. We are not responsible for indirect, unforeseeable or consequential loss or damage.

We do not exclude or limit in any way our liability for:

  · Fraud or fraudulent misrepresentation.

We will not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control (a "Force Majeure Event"), including strikes, lock-outs, failure of utility service, or internet outages.

These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, though as a consumer you retain the right to bring proceedings in your local courts.
